Terms & Conditions and Payment Policy

1. About Us

SpaceUpp is a PoSH compliance and Diversity, Equity, Inclusion, and Justice (DEIJ) advisory consultancy registered in India, serving startups, MSMEs, and enterprises. Through our advisory arm Narratives of Deepa, we offer leadership development programs including group coaching for women in corporate leadership roles.

Business Type: B2B and B2C professional advisory, consulting, and coaching services.

2. Scope of These Terms

These Terms & Conditions govern all payments made through www.spaceupp.com for the following services:
• PoSH Compliance Consulting (B2B)
• Diversity, Equity, Inclusion & Justice (DEIJ) Advisory (B2B)
• Workshops and Training Programs (B2B and B2C)
• Mirror Talk — Group Coaching Program under Narratives of Deepa (B2C, ₹50,000 per cohort)

By completing a payment on this website, you agree to these Terms & Conditions in full.

3. Payment Terms

3.1 All prices listed on this website are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless stated otherwise.

3.2 SpaceUpp is a GST-registered entity. A valid GST invoice will be issued upon successful payment. Clients requiring a GST invoice must provide their GSTIN at the time of booking.

3.3 Full payment is required to confirm your booking, enrolment, or engagement, unless a separate written agreement specifying a payment schedule has been executed between the parties.

3.4 For B2B engagements (PoSH consulting, DEIJ advisory, workshops), payment milestones, if applicable, will be governed by the terms of the signed service agreement or purchase order.

3.5 SpaceUpp reserves the right to withhold commencement of services until full or agreed-upon payment has been received and confirmed.

4. Cancellation Policy

4.1 All payments made to SpaceUpp and Narratives of Deepa are non-refundable. Once a payment is confirmed, no refund will be issued under any circumstance, including but not limited to:
• Change of mind or withdrawal of interest
• Inability to attend scheduled sessions or workshops
• Dissatisfaction with program format or content delivery style
• Business or personal exigencies on the client’s part

4.2 In the event that SpaceUpp is unable to deliver the confirmed service due to reasons solely attributable to SpaceUpp (including cancellation of a program by SpaceUpp), the client will be offered one of the following at SpaceUpp’s discretion: • Rescheduling to the next available cohort or session
• Transfer of the enrolment to another eligible participant nominated by the client

4.3 No cash or online refund will be processed in any case. All decisions regarding cancellations, rescheduling, or transfers are final and solely at the discretion of SpaceUpp.

4.4 Requests for rescheduling or enrolment transfers (as applicable under Clause 4.2) must be submitted in writing to contact@spaceupp.com within 7 calendar days of the notified cancellation.

5. GST and Taxation

5.1 All transactions are subject to Goods and Services Tax (GST) as applicable under the Central Goods and Services Tax Act, 2017, and the Tamil Nadu Goods and Services Tax Act, 2017.

5.2 SpaceUpp’s GST registration covers services delivered across India. The applicable GST rate will be displayed at the time of checkout. A tax invoice will be issued to the registered email ID provided at the time of payment.

6. Online Payment and Security

6.1 Payments on www.spaceupp.com are processed through a RBI-compliant third-party payment gateway. SpaceUpp does not store, access, or process your card or banking credentials.

6.2 In the event of a failed transaction where payment has been debited from your account but not confirmed by our system, please write to contact@spaceupp.com within 48 hours with your transaction reference. We will coordinate with the payment gateway to resolve the issue within 7–10 business days.

6.3 SpaceUpp shall not be liable for any loss arising from unauthorised use of your payment credentials or for failures attributable to the payment gateway, your bank, or internet connectivity.

7. Service Delivery

7.1 All services are delivered online (via video conferencing platforms) or in-person at mutually agreed locations, unless otherwise specified in your booking confirmation.

7.2 SpaceUpp reserves the right to reschedule a session, workshop, or cohort with reasonable prior notice (minimum 48 hours) in the event of unavoidable circumstances. In such cases, no additional fees will be charged, and the alternate date will be communicated promptly.

8. Dispute Resolution and Governing Law

8.1 These Terms & Conditions are governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, the Consumer Protection Act, 2019, the Information Technology Act, 2000, and applicable rules thereunder.

8.2 All disputes arising out of or in connection with these Terms & Conditions, including payment disputes, shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

8.3 In accordance with the Tamil Nadu Shops and Establishments Act, 1947 (as applicable), SpaceUpp maintains compliant business records and reserves the right to produce the same in any dispute proceeding.

8.4 Parties agree to first attempt resolution of any dispute through good-faith written communication before approaching a court of law.

9. Consumer Rights (B2C Clients)

9.1 Individual clients (B2C) purchasing services such as Mirror Talk are entitled to protections available under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.

9.2 For grievances, clients may contact our Grievance Officer at contact@spaceupp.com. We will acknowledge complaints within 48 hours and aim to resolve them within 15 business days.

10. Amendments

SpaceUpp reserves the right to update or modify these Terms & Conditions at any time without prior notice. The revised Terms will be posted on this page with the updated effective date. Continued use of our services following any such revision constitutes your acceptance of the updated Terms.
